By providing travel services or accepting an offer to provide travel services, the operator agrees to be bound hereby.

OPERATOR TERMS AND CONDITIONS

By accepting our trip offer, you agree to the following terms and conditions.

LINEAR AIR TAXI is offering a trip to OPERATOR on behalf of its customers, and OPERATOR is offering to provide charter service to LINEAR AIR TAXI and its customers under commercial operating authority of the appropriate governing body.

REQUIRED DOCUMENTS:

OPERATOR will provide LINEAR AIR TAXI with Proof of Insurance (OST form) and Proof of aircraft registration (OpsSpec D085), as well as additional insured certificate of insurance and other documents upon request. OPERATOR’s insurance shall be deemed primary without right of subrogation or offset.

PAYMENT:

LINEAR AIR TAXI will pay OPERATOR via ACH to OPERATOR’s bank account on record with LINEAR AIR TAXI on the second business day after trip completion.

CHANGES AND CANCELLATIONS:

LINEAR AIR TAXI may cancel a trip more than forty-eight hours prior to the scheduled departure time at no cost. Cancellations made by LINEAR AIR TAXI between forty-eight and twenty-four hours prior to the scheduled departure time will incur a charge equal to one-half of the trip cost. Cancellations made by LINEAR AIR TAXI within twenty-four hours of the scheduled departure time will incur a charge of the full trip cost. Should OPERATOR need to change aircraft and/or departure time, OPERATOR will inform LINEAR AIR TAXI prior to such change, and if LINEAR AIR TAXI’s customer is unable to accommodate such change, LINEAR AIR TAXI may cancel without cost. Cancellations by OPERATOR will incur no cost to LINEAR AIR TAXI.

PARTIAL COMPLETION OF FLIGHTS. If a flight does not reach its destination due to weather, mechanical interruption or other reason, LINEAR AIR TAXI shall pay OPERATOR only for those portions of the flight completed. OPERATOR shall not subcontract any portion of any flight for any reason.

LIMITATION OF LIABILITY. Neither party shall be liable to the other party for any special, indirect, consequential, incidental or contingent damages, or loss of profits, data, business or goodwill suffered or incurred which arise out of the performance or non-performance of this agreement. In any case, the liability of the parties shall be limited to the amount of trip cost, and any claim shall be adjudicated in and governed by the laws of the Commonwealth of Massachusetts.

FORCE MAJEURE. Neither party shall be liable to the other party for any failure to perform or delay in performing its obligations hereunder (other than any obligation to pay money) due to any contingency beyond such party’s control including, without limitation, any strike, lockout labor dispute (legal or illegal), civil disorder, shortage of materials, failure of communications providers, acts of civil or military authorities, riots, insurrections, war, fuel shortages, accidents, acts of God, or any other similar contingency.

RELATIONSHIP OF THE PARTIES. The parties intend that an independent contractor relationship shall be created by this Agreement, and that nothing contained herein shall be construed to create a relationship of employer and employee between the parties. No party shall have the right to bind another to any agreement with a third party nor to represent itself as an agent, partner or joint venture of the other, nor to incur any obligation or liability on behalf of the others. At all times during its performance on behalf of LINEAR AIR TAXI, OPERATOR shall retain Operational Control as that term is defined under Federal Aviation Regulations.

REPRESENTATIONS AND WARRANTIES. Each party represents and warrants that it is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization, and that it has full power to execute and deliver this Agreement and is appropriately authorized under its terms.
